API Terms Of Use

These API Terms of Use (the “Terms” or “Agreement”) govern your access to and use of the application programming interfaces, related documentation, code, tools, and data services (collectively, the “API” or the “Service”) made available by UniPro Technology Limited and/or its affiliates (“UniSat,” “we,” “us,” or “our”). By accessing or using the API, you (the “Developer” or “User”) agree to be bound by these Terms. If you are using the API on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Definitions.

“API” means (i) any machine-accessible interface provided by UniSat that enables access to UniSat Offerings, (ii) any sample code, libraries, or tools provided by UniSat, and (iii) any associated documentation.

“Open-Source Components” means any software, libraries, or tools provided by UniSat that are licensed under a separate, publicly available open-source license (such as the MIT License) and are accessible independent of the API.

“UniSat Offerings” means the website https://unisat.ioarrow-up-right and any other software, products, data, or platforms offered by UniSat.

“Application” means any software application, website, tool, service, or product created or offered by you that uses the API.

“API Content” means Your use of the API and display of any data or content accessed via the API.

“Developer Documentation” means the technical documentation, usage guidelines, call volume limits, and other materials we provide or make available to you.

“Confidential Information” means you may receive access to non-public technical information, specifications, or data relating to the UniSat API.

“Term” means the period beginning on the date you first accept these Terms and ending upon termination in accordance with Section 12.

2. Scope of Agreement.

2.1 This Agreement governs your access to and use of the UniSat API, including any data, content, or services made available through the API (collectively, “API Services”).

2.2 Any open-source software, libraries, sample code, or tools that are provided by UniSat under a separate open-source license (e.g., MIT License) and are accessible outside the context of the API (“Open-Source Components”) are not subject to the terms of this Agreement.

2.3 Your use of any Open-Source Components is governed solely by the terms of the applicable open-source license accompanying such components. The disclaimers of warranty and limitations of liability set forth in this Agreement do not apply to Open-Source Components to the extent they are governed by such open-source licenses. Notwithstanding the foregoing, Section 5.4 (Open-Source Code) of this Agreement shall remain applicable.

3. Access and Eligibility.

3.1 Registration. You must register for an account to access certain features of the API. You are responsible for all activities conducted under your account credentials.

3.2 Eligibility. You represent and warrant that:

(a) You are of legal age and have the capacity to enter into a binding contract.

(b) You and your end users are not located in, or a citizen or resident of, any jurisdiction where the use of the Service is prohibited or requires special authorization.

(c) You, and any entity you represent, are not listed on any sanctions list, including but not limited to (1) the Islamic State of Iraq and the Levant (ISIL/Daesh), Al-Qaeda, the Taliban, and associated individuals, groups, enterprises, and entities; any individuals or entities designated by the United Nations Security Council or the United Arab Emirates; (2) the Democratic People’s Republic of Korea (DPRK), the Islamic Republic of Iran, or individuals, groups, enterprises, entities listed on sanctions lists maintained by the UN Security Council, the U.S. government (e.g., OFAC Sanctions List), the European Union or its member states, the Monetary Authority of Singapore (MAS), the Hong Kong Monetary Authority (HKMA), the Hong Kong Customs and Excise Department, or other applicable governmental authorities; and (3) you are not a “U.S. Person” as defined under 17 CFR § 230.902.

3.3 We reserve the right, at our sole discretion, to construe, limit, and modify the scope of Service in any jurisdiction at any time and to determine, at our sole discretion, your eligibility to access or use this Agreement and the Service. You acknowledge that such determinations may affect your ability to access or use the Service and agree to bear all associated risks and consequences. If you fail to meet such eligibility requirements, we may, temporarily or permanently, suspend, restrict or terminate your access to the Service.

4. License and Use.

4.1 Limited License. Subject to these Terms, UniSat grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to: (i) access and use the API solely to develop, test, and operate your Application; and (ii) use the related documentation.

4.2 Use Restrictions. You agree not to, and not to permit others to:

(a) use the Service in a way that could impair, harm or damage UniSat, the Service, the website accessible at https://unisat.ioarrow-up-right and any other website, software, product or platform offered by UniSat (the “UniSat Offerings”), or anyone’s use of the UniSat Offerings or the Service;

(b) use the Service, or any information accessed or obtained using the Service, for the purpose of migrating users away from the UniSat Offerings, unless expressly permitted or agreed by UniSat;

(c) request from the Service more than the minimum amount of data, or more than the minimum permissions to the types of data, that your Application needs for users to use the intended functionality of your Application;

(d) use an unreasonable amount of bandwidth, or adversely impact the stability of the Service or the behavior of other apps using the Service;

(e) attempt to circumvent the limitations UniSat sets on your use of the Service;

(f) use the Service in any manner that works around any technical limitations of the Service or of the accessed UniSat Offerings, or reverse engineer, decompile or disassemble the Service, except and only to the extent that applicable law expressly permits, despite this limitation;

(g) use the Service, or any data obtained using the Service, to conduct performance testing of the UniSat Offerings unless expressly permitted or agreed by UniSat;

(h) use the Service, or any data obtained using the Service, to identify, exploit or publicly disclose any potential security vulnerabilities;

(i) request, use or make available any data obtained using the Service outside any permissions expressly granted by your customers in connection with using your Application;

(j) use or transfer any data accessed or obtained using the Service, including any data aggregated, anonymized or derived from that data for advertising or marketing purposes;

(k) make your Application available for use in a manner that circumvents the need for users to obtain valid licenses to the UniSat Offerings that is accessed through the Service;

(l) redistribute or resell, or sublicense access to, the Service, any data obtained using the Service, or any other UniSat Offerings accessed through the Service;

(m) misrepresent expressly, by omission, or implication, the need for users to obtain valid licenses to access the UniSat Offerings or services that are accessed through the Service;

(n) falsify or alter any unique referral identifier in, or assigned to an Application, or otherwise obscure or alter the source of queries coming from an Application to hide a violation of this Agreement; and

(o) use the Service in a manner that, in UniSat’s reasonable judgment, poses a material risk to the security, stability, or lawful use of the Service, the UniSat Offerings, or to end users.

If UniSat determines that your use of the Service presents such a risk, we will make reasonable efforts to notify you in advance and provide an opportunity to remedy the issue, unless immediate suspension is necessary to prevent significant harm.

4.3 Developer Documentation. Your use of the API Content must comply with the Developer Documentation. The Developer Documentation is incorporated into these Terms by reference. In the event of any conflict between the Developer Documentation and these Terms, these Terms shall govern.

5. Service Terms.

5.1 Availability. The API is provided “AS IS” and “AS AVAILABLE.” We do not guarantee uptime, reliability, or continuous availability and may modify, suspend, or discontinue the API (or any part thereof) at any time without notice.

5.2 Data Accuracy. We do not warrant the accuracy, completeness, or timeliness of any data provided via the API. You use such data at your own risk.

5.3 Third-Party Content and Links: The API Service may contain content or links from third parties, solely as a convenience. Such third-party content or links are not under the control of UniSat and UniSat is not responsible for the quality, accuracy, completeness, performance or reliability of this content, nor for any losses incurred by Users using third-party content or accessing third-party links through the API. The fact that such content or links may be included in, provided by, or accessed through the API Service does not imply endorsement by UniSat or the third-party of either party’s sites or services. Depending on Users’ jurisdiction, some third-party content may not be available to Users.

5.4 Open-Source Code. To the extent our Service incorporates open-source code, any third-party use of such code shall be at the Users’ sole risk. We disclaim all liabilities, whether express or implied, for technical flaws, security vulnerabilities, or fitness for purpose in any open-source components. In particular, any open-source code provided by us (including ad-hoc libraries without an explicitly stated license) is licensed under the MIT License, which expressly disclaims all warranties and liabilities. Users should review and comply with the terms of the MIT License.

5.5 Independent Development. Each party acknowledges that the other party may be independently creating applications, content and other products or services that may be similar to or competitive with those of the other party and nothing in these Terms will be construed as restricting or preventing each party from creating and fully exploiting such applications, content and other items, without any obligations to the other party. Your Application is your independent product. We do not endorse, guarantee, or assume any responsibility for your Application or any content therein.

6. Developer Responsibilities.

6.1 Security. You are solely responsible for securing your API credentials and for all activity occurring under your account. You must implement appropriate technical and organizational measures to protect any data collected via your Application and comply with all applicable data protection laws. You must promptly notify UniSat of any actual or suspected security breach involving your API credentials or data obtained via the API.

6.2 Your Application. You are solely liable for the development, operation, maintenance, and legal compliance of your Application. You warrant that your Application will not violate any third-party rights or applicable laws.

6.3 Indemnification. You agree to indemnify, defend, and hold harmless UniSat and its affiliates, officers, and employees from any claims, damages, or losses arising from: (i) your use of the API in breach of these Terms; (ii) your Application; or (iii) your violation of any law or third-party right.

7. Fees and Payment.

The API is currently offered under various tiered packages, which may be subject to fees. We reserve the right to change our fee structure at any time. You are responsible for any taxes associated with your use of the Service.

8. Disclaimer of Warranties.

WE PROVIDE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE API SERVICE AND SUPPORT SERVICES (IF ANY) “AS IS,” “WITH ALL FAULTS” AND “AS AVAILABLE,” AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AVAILABILITY OF DATA FROM THE API SERVICE, AND EFFORT IS WITH USERS. UNISAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAKES NO REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS WITH RESPECT TO THE API SERVICE OR SUPPORT SERVICES (IF ANY). TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, UNISAT DISCLAIMS AND EXCLUDES ANY AND ALL REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED; INCLUDING WITHOUT LIMITATION (A) REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT, (B) REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, AND (C) REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS THAT ACCESS TO OR USE OF THE API SERVICE WILL FUNCTION AS DESCRIBED, WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE OR THAT USERS’ USE OF THE API SERVICE WILL BE RELIABLE AND ACCURATE, INCLUDING WITHOUT LIMITATION STORING, READING, UPDATING OR DELETING ANY DATA. NO ORAL OR WRITTEN STATEMENT MADE TO USERS IN THE CONTEXT OF PROVIDING THE API SERVICE OR SUPPORT SERVICES (IF ANY) WILL CREATE ANY WARRANTY THAT HAS BEEN EXPRESSLY DISCLAIMED IN THIS DISCLAIMER.

9. Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UNISAT HAVE ANY LIABILITY ARISING OUT OF, BASED ON, OR RESULTING FROM THIS DISCLAIMER OR USERS’ USE OF THE API SERVICE OR SUPPORT SERVICES (IF ANY) OR USERS’ USE OF ANY OPEN-SOURCE INTELLECTUAL PROPERTY CODE WE PROVIDE ON ANY OPEN-SOURCE PLATFORM OR ANY OTHER THIRD PARTY PLATFORM (IF ANY), FOR (A) ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, (B) DAMAGES FOR LOST PROFITS, (C) LOSS OF INFORMATION, (D) LOSS OF USE, (E) DAMAGE TO OR LOSS OF GOODWILL, (F) USE OR INABILITY TO USE THE API SERVICE OR SUPPORT SERVICES (IF ANY); (G) COST OF PROCUREMENT OF SUBSTITUTE GOODS, DATA, SOFTWARE PROGRAMS OR SERVICES; (H) UNAUTHORIZED ACCESS TO OR USE OF, OR ANY ALTERATION, CORRUPTION, DELETION, DAMAGE OR LOSS OF, THE DATA GENERATED BY THE API SERVICE, OR ANY OTHER DATA, SOFTWARE PROGRAMS OR SERVICES USED IN CONNECTION WITH THE API SERVICE; (I) FAILURE TO PROVIDE ACCURATE INFORMATION; (J) VIRUSES OR OTHER DISABLING FEATURES THAT AFFECT USERS’ ACCESS OR USE OF THE API SERVICE OR THAT ARE TRANSFERRED TO USERS THROUGH THE API SERVICE; (K) INCOMPATIBILITIES BETWEEN THE API SERVICE AND OTHER SERVICES, SOFTWARE OR HARDWARE; AND/OR (L) ANY THIRD PARTY CONDUCT, TRANSMISSIONS OR DATA, IN EACH CASE INCURRED BY THE USERS OR ANY OPEN SOURCE PLATFORM OR OTHER THIRD PARTY PLATFORM OR THE USERS OF ANY OPEN SOURCE PLATFORM OR OTHER THIRD PARTY PLATFORM. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE LIABILITY IS BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF WARRANTIES, OR OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS FOR DAMAGES OR LOSSES ARISING OUT OF OR IN CONNECTION WITH THIS DISCLAIMER OR THE RELATED SERVICES, REGARDLESS OF THE FORM OF ACTION, EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100.00).

THESE LIMITATIONS AND EXCLUSIONS APPLY EVEN IF (X) THIS REMEDY DOES NOT FULLY COMPENSATE USERS FOR ANY LOSSES, OR FAILS OF ITS ESSENTIAL PURPOSE AND/OR (Y) UNISAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING DISCLAIMER WILL NOT APPLY TO THE EXTENT PROHIBITED BY LAW.

10. Intellectual Property.

10.1 Ownership. UniSat retains all right, title, and interest in and to the API, UniSat Offerings, and all related intellectual property.

10.2 Feedback. Any feedback you provide regarding the API may be used by UniSat without restriction or obligation.

10.3 License to Your Content. By using the API, you grant UniSat a limited license to use any content you submit solely to provide and improve the Service.

11. Brand Usage and Publicity.

11.1 Use of UniSat Brand Features. You may not use the ‘UniSat’ name, logo, trademarks, service marks, or any other brand identifiers of UniSat (“UniSat Brand Features”) without our prior written consent. You may display UniSat Brand Features only when and to the extent strictly necessary to provide accurate attribution for Content sourced from our API within your Application. Any such use must comply with any brand usage guidelines we may publish or provide to you, and must not imply any sponsorship, endorsement, or partnership by UniSat.

11.2 License to Your Brand Features. You grant to UniSat a worldwide, royalty-free, non-exclusive license during the Term to use your trade names, trademarks, logos, and domain names (“Your Brand Features”) solely for the purposes of (a) identifying you as a user of the API, and (b) promoting, marketing, or advertising the availability of your Application that utilizes the API (e.g., in customer lists, case studies, or on the UniSat website). This license includes the right for UniSat to sublicense these rights to its affiliates and service providers to achieve the stated purposes.

11.3 Publicity. UniSat may, without additional consent or notice to you, publicly refer to you as a user of the API, including by publishing your name and logo (with or without a link to your Application) on UniSat’s website, in press releases, and in other promotional materials. If you wish to object to a specific use, you may notify us in writing, and we will work with you in good faith to address your concerns.

12. Term and Termination.

12.1 Term. This Agreement commences on the date you first accept it and continues until terminated in accordance with this Section 12.

12.2 We may suspend or terminate your access to the API immediately, without notice, for any breach of these Terms. Upon termination, you must cease all use of the API and delete any cached data.

12.3 You may terminate these Terms at any time by ceasing all use of the API and deleting any cached data. Sections that, by their nature, should survive termination (including but not limited to Sections 6.3 (Indemnification), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Intellectual Property), 13 (Confidentiality), and 14-16 (Governing Law, etc.)) will survive.

13. Confidentiality.

You may receive access to Confidential Information from UniSat. You may use such Confidential Information only as necessary for your permitted use of the API under these Terms. You may not disclose it to any third party without our prior written consent. You agree to protect it using at least the same degree of care you use for your own confidential information of similar importance.

14. Governing Law.

This Agreement, your use of the Sites and the Services, and any dispute, controversy, difference or claim arising out of or relating to this Agreement, or your use of the Sites and the Services, including the existence, validity, interpretation, performance, breach or termination of this Agreement or any dispute regarding non-contractual obligations arising out of or relating to them (“Dispute”) shall be governed by and construed in accordance with the laws of Hong Kong, without giving effect to any conflict of laws principles.

15. Dispute Resolution and Class Action Waivers.

15.1 Any Dispute shall be first resolved through good faith negotiations. You must inform us of the Dispute by sending an email to contact legal @unisat.io. If no settlement is reached within sixty (60) days of our first email to commence the negotiations, the Dispute shall be resolved exclusively by arbitration in accordance with Section15.2 below.

15.2 Any Dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English. The fees and expenses of the arbitral tribunal shall be determined on the basis of [Schedule 2/ Schedule 3] of these Rules. The arbitration shall take place in Hong Kong, unless both you and us mutually agree on an alternative location.

15.3 Class Action Waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND WE EXPRESSLY WAIVE ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. Unless both you and we agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

16. General Terms.

16.1 Modifications. We may update these Terms from time to time. The updated version will be posted online. Your continued use of the API after the effective date constitutes acceptance of the revised Terms.

16.2 Severability. If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.

16.3 Entire Agreement. These Terms constitute the entire agreement between you and UniSat regarding the API and supersede any prior agreements or communications.

16.4 Assignment. We may assign or transfer any of our rights or obligations under these Terms to any affiliate or successor in interest. You may not assign or transfer any of your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section is void.

16.5 No Partnership. You and UniSat are independent parties. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship. Neither party has the authority to bind the other or incur any obligation on the other’s behalf.
