Please read this carefully before using the API service provided by UniPro Technology Limited and/or its affiliates (“UniSat”, “we”, “us” or “our”). This Developer Service Legal Disclaimer (“Disclaimer”, “Agreement” or “Terms”) takes effect from the date you (“Developer” or “Users”) first use the API. In this Disclaimer, “API” means (i) any form of machine accessible application programming interface that UniSat makes available which provides access to UniSat Offerings (as defined below), including all associated tools, elements, components and executables therein, (ii) any UniSat sample code that enables interactions with UniSat Offerings, and (iii) documentation that UniSat makes available to help enable your access to the API.
1. Technical and Infrastructure Terms
1.1 UniSat API Data Query Service: By accessing the UniSat API platform or using the API data query service provided by UniSat (the “API Service” or “Service”), including within a software application, website, tool, service, or product you create or offer to customers (your “Application”), you are agreeing to this Disclaimer and any other terms and conditions in respect of the API Service entered into by you and UniSat.
1.2 Fees: The API Service is currently provided in different tiered packages, each with its own fee level, and UniSat reserves the right to change the fee levels for the API Service from time to time.
1.3 Availability and Reliability of the API Service: UniSat does not guarantee the availability and reliability of the API Service to Users. Users need to assess the risks associated with using the API and bear any resulting faults, issues, risks, and losses.
1.4 Service Changes and Termination: UniSat reserves the right to modify or terminate the API Service at any time at its sole discretion without prior notice. UniSat is not responsible for any losses or inconveniences resulting from such actions.
1.5 Data Accuracy: UniSat does not guarantee that the information returned by the API is accurate, timely, complete, valid, or error-free. UniSat is not responsible for any losses caused by inaccuracies, delay or data errors resulting from using the API Service.
1.6 Technical Compatibility: UniSat is not responsible for the incompatibility of the API with any devices, platforms, browsers, services, software or hardware. Users must ensure that their technical environment is compatible with the API Service.
1.7 Third-Party Content and Links: The API Service may contain content or links from third parties, solely as a convenience. Such third-party content or links are not under the control of UniSat and UniSat is not responsible for the quality, accuracy, completeness, performance or reliability of this content, nor for any losses incurred by Users using third-party content or accessing third-party links through the API. The fact that such content or links may be included in, provided by, or accessed through the API Service does not imply endorsement by UniSat or the third-party of either party’s sites or services. Depending on Users’ jurisdiction, some third-party content may not be available to Users.
1.8 Open-Source Code. To the extent our Service incorporates open-source code, any third-party use of such code shall be at the Users’ sole risk. We disclaim all liabilities, whether express or implied, for technical flaws, security vulnerabilities, or fitness for purpose in any open-source components. In particular, any open-source code provided by us (including ad-hoc libraries without an explicitly stated license) is licensed under the MIT License, which expressly disclaims all warranties and liabilities. Users should review and comply with the terms of the MIT License.
1.9 Emergency Maintenance: UniSat has the right to perform emergency maintenance on the API Service at any time at its sole discretion, which may result in temporary service interruptions or suspensions. UniSat is not responsible for any losses or inconveniences caused by this. Nothing herein shall be construed as an obligation for UniSat to maintain or provide technical support of any kind for the API Service.
2. User, Anti-Spam, and Privacy Terms
2.1 User Eligibility:
(a) To use this Service, you must declare that you are of legal age, have the legal capacity to enter into contracts, and possess full legal authority to agree to and comply with this Agreement on behalf of yourself and any company/entity. You will not be accessing the Service in a jurisdiction where such Service is not permitted, restricted or illegal;
(b) You further represent and warrant to us that you, the legal entity you represent, or any person(s) owning or controlling you or such legal entity, are not listed on any trade or economic sanctions lists maintained by any competent authorities, and you shall not engage in transactions with any listed parties, including but not limited to (1) the Islamic State of Iraq and the Levant (ISIL/Daesh), Al-Qaeda, the Taliban, and associated individuals, groups, enterprises, and entities; any individuals or entities designated by the United Nations Security Council or the United Arab Emirates; (2) the Democratic People’s Republic of Korea (DPRK), the Islamic Republic of Iran, or individuals, groups, enterprises, entities listed on sanctions lists maintained by the UN Security Council, the U.S. government (e.g., OFAC Sanctions List), the European Union or its member states, the Monetary Authority of Singapore (MAS), the Hong Kong Monetary Authority (HKMA), the Hong Kong Customs and Excise Department, or other applicable governmental authorities; and (3) you are not a “U.S. Person” as defined under 17 CFR § 230.902.
(c) We reserve the right, at our sole discretion, to construe, limit, and modify the scope of Service in any jurisdiction at any time and to determine, at our sole discretion, your eligibility to access or use this Agreement and the Service. You acknowledge that such determinations may affect your ability to access or use the Service and agree to bear all associated risks and consequences. If you fail to meet such eligibility requirements, we may, temporarily or permanently, suspend, restrict or terminate your access to the Service.
2.2 Security Assurance: UniSat is not responsible for any losses or damages caused by unauthorized access, data leaks, or other security vulnerabilities. We provide you with log-in credentials and API authentication generated by the Service, such log-in credentials and API authentication are for your internal use only and you will not sell, transfer or sublicense them to any other entity or person. All activities that occur using your log-in credentials and API authentication are your responsibility. Accordingly, without limitation to any other provisions of this Disclaimer, Users acknowledge that Users bear the sole responsibility for adequate security, protection and backup of any data, software programs or services in connection with Users’ use of the API Service.
Users warrant that Users’ Application has been developed to operate with API content in a secure manner. Users warrant Users’ network, operating system and the software of Users’ servers, databases, and computer systems must be properly configured to securely operate Users’ use of the API and store content collected through Users’ use of the API. Users warrant compliance with all laws and regulations applicable to Users’ use of the data accessed through the API, including without limitation laws related to privacy, data protection and confidentiality of communications. Users’ use of the API is conditioned upon implementing and maintaining appropriate protections and measures for the service and application, and that includes the Users’ responsibility to the data obtained using the API.
We may use technology to detect, prevent or limit the impact of any issues caused by your Application (before, after, or instead of suspension of your access). This may include, for example, (i) filtering to stop spam, (ii) performing security or privacy monitoring regarding scraping, denial of service attacks, user impersonation, application impersonation, or illicit consent grant(s), or (iii) limiting or terminating your access to the API. You will permit us reasonable access to your Application for purposes of monitoring compliance with this Agreement. You will respond to any questions by us about your compliance with this Agreement.
In the event of a data breach by you resulting from any aspect of the API involving your Application or any data collected through your Application, you will promptly contact us and provide details of the data breach. You agree to refrain from making public statements (e.g., press, blogs, social media, bulletin boards, etc.) without prior written and express permission from us in each instance as it relates to the API.
The rights and requirements of this Section 2.2 will survive for five (5) years following any termination of this Agreement.
2.3 Usage Terminations: UniSat reserves the right to restrict, suspend, or terminate Users' access to the API Service at its sole discretion without prior notice. This may be based on Users' violations, misuse of the API Service, or other reasons UniSat deems reasonable. UniSat is not responsible for any losses or damages whatsoever arising from or in connection with the exercise of such rights. Upon termination of the API Service, you shall no longer use your log-in credentials, and all licenses granted hereunder shall terminate unless such licenses are expressly stated as surviving.
2.4 Usage Restrictions: You agree not to do any of the following:
(a) use the Service in a way that could impair, harm or damage UniSat, the Service, the website accessible at https://unisat.io and any other website, software, product or platform offered by UniSat (the “UniSat Offerings”), or anyone’s use of the UniSat Offerings or the Service;
(b) use the Service, or any information accessed or obtained using the Service, for the purpose of migrating users away from the UniSat Offerings, unless expressly permitted or agreed by UniSat;
(c) request from the Service more than the minimum amount of data, or more than the minimum permissions to the types of data, that your Application needs for users to use the intended functionality of your Application;
(d) use an unreasonable amount of bandwidth, or adversely impact the stability of the Service or the behavior of other apps using the Service;
(e) attempt to circumvent the limitations UniSat sets on your use of the Service;
(f) use the Service in any manner that works around any technical limitations of the Service or of the accessed UniSat Offerings, or reverse engineer, decompile or disassemble the Service, except and only to the extent that applicable law expressly permits, despite this limitation;
(g) use the Service, or any data obtained using the Service, to conduct performance testing of the UniSat Offerings unless expressly permitted or agreed by UniSat;
(h) use the Service, or any data obtained using the Service, to identify, exploit or publicly disclose any potential security vulnerabilities;
(i) request, use or make available any data obtained using the Service outside any permissions expressly granted by your customers in connection with using your Application;
(j) use or transfer any data accessed or obtained using the Service, including any data aggregated, anonymized or derived from that data for advertising or marketing purposes;
(k) make your Application available for use in a manner that circumvents the need for users to obtain valid licenses to the UniSat Offerings that is accessed through the Service;
(l) redistribute or resell, or sublicense access to, the Service, any data obtained using the Service, or any other UniSat Offerings accessed through the Service;
(m) misrepresent expressly, by omission, or implication, the need for users to obtain valid licenses to access the UniSat Offerings or services that are accessed through the Service;
(n) falsify or alter any unique referral identifier in, or assigned to an Application, or otherwise obscure or alter the source of queries coming from an Application to hide a violation of this Agreement; and
(o) use the Service in a manner that, in UniSat’s reasonable judgment, poses a material risk to the security, stability, or lawful use of the Service, the UniSat Offerings, or to end users.
If UniSat determines that your use of the Service presents such a risk, we will make reasonable efforts to notify you in advance and provide an opportunity to remedy the issue, unless immediate suspension is necessary to prevent significant harm.
2.5 No Illegal Use: Users must not use the API Service
(a) in any way or for any purpose that is illegal,
(b) for sending spam or any other activity that violates the relevant regulations and policies that apply to Users,
(c) to upload or transmit any information or software which contains any computer viruses, worms, Trojan horses or any other intrusive or harmful computer codes, programs or files;
(d) to access, use, break into, or attempt to access, use or break into any parts of the API Service or any services, servers, devices, or networks connected to or can be accessed via the API Service, which the Users have not been authorized to use; and
(e) in any way that contravenes or infringes upon UniSat’s rights or the rights of any third party.
UniSat reserves the right to decide as to what constitutes such activities, and the decisions are final and conclusive. UniSat is not responsible for any legal liabilities resulting from Users' violations.
2.6 User Information: UniSat is not responsible for losses resulting from unauthorized access, data leaks, or other data security issues. Users acknowledge and agree that the personal information provided during the use of the API Service may be collected and processed.
2.7 Liability Attribution: Users understand and agree that (a) UniSat functions solely as a data intermediary, providing Service for blockchain information querying. UniSat does not participate in, endorse, or control the design, operation, or decision-making processes of any products, services, or Applications developed by Developer using the API; (b) Developer bears sole responsibility and liability for the functionality, security, regulatory compliance, and any user losses arising from its Applications using the API.
3. Business Applications, Legal, and Other Terms
3.1 Commercial Use: Any commercial use of the API Service, including but not limited to selling, sublicensing, or engaging in other commercial activities, requires the prior written permission from UniSat.
3.2 Mandatory Interpretation: The interpretation and application of this Disclaimer are subject to applicable laws and will be interpreted within the limits required by law.
3.3 Disclaimer Updates: WE MAY CHANGE OR DISCONTINUE THE AVAILABILITY OF SOME OR ALL OF THE SERVICE AT ANY TIME FOR ANY REASON WITH OR WITHOUT NOTICE. Such changes may include, without limitation, removing or limiting access to specific API, requiring fees or setting and enforcing limits on your use of additions to the API. We may also impose limits on certain features and services or restrict your access to some or all of the API. We may release subsequent versions of the API and require that you use those subsequent versions, at your sole cost and expense. UniSat reserves the right to modify this Disclaimer at any time with or without prior notice to you and reminds Users to regularly check for changes. If Users do not agree to the modifications, then Users must immediately stop using the API Service. If Users do not stop using the API Service, then Users will be deemed to have accepted the modified terms of the API Service and Users’ use of the API Service will continue under the changed Agreement.
3.4 Indemnification: Users will indemnify, pay the defense costs of, and hold UniSat and its successors, officers, directors and employees harmless from and against any and all claims, demands, costs, liabilities, judgments, losses, expenses and damages (including attorneys’/legal fees) arising out of, in connection with, or related to (a) Users’ use of the API Service in breach of this Agreement or in violation of any applicable laws or regulations, or (b) any data, software programs or services that Users use in connection with the API Service, including without limitation any claim that such data, software program or services, or any part thereof, infringes, misappropriates, or otherwise violates any copyright, patent, trade secret, trademark, or other legal right of any third party.
3.5 No Warranty: WE PROVIDE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE API SERVICE AND SUPPORT SERVICES (IF ANY) “AS IS,” “WITH ALL FAULTS” AND “AS AVAILABLE,” AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AVAILABILITY OF DATA FROM THE API SERVICE, AND EFFORT IS WITH USERS. UNISAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAKES NO REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS WITH RESPECT TO THE API SERVICE OR SUPPORT SERVICES (IF ANY). TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, UNISAT DISCLAIMS AND EXCLUDES ANY AND ALL REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED; INCLUDING WITHOUT LIMITATION (A) REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT, (B) REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, AND (C) REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS THAT ACCESS TO OR USE OF THE API SERVICE WILL FUNCTION AS DESCRIBED, WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE OR THAT USERS’ USE OF THE API SERVICE WILL BE RELIABLE AND ACCURATE, INCLUDING WITHOUT LIMITATION STORING, READING, UPDATING OR DELETING ANY DATA. NO ORAL OR WRITTEN STATEMENT MADE TO USERS IN THE CONTEXT OF PROVIDING THE API SERVICE OR SUPPORT SERVICES (IF ANY) WILL CREATE ANY WARRANTY THAT HAS BEEN EXPRESSLY DISCLAIMED IN THIS DISCLAIMER.
3.6 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UNISAT HAVE ANY LIABILITY ARISING OUT OF, BASED ON, OR RESULTING FROM THIS DISCLAIMER OR USERS’ USE OF THE API SERVICE OR SUPPORT SERVICES (IF ANY) OR USERS’ USE OF ANY OPEN-SOURCE INTELLECTUAL PROPERTY CODE WE PROVIDE ON ANY OPEN-SOURCE PLATFORM OR ANY OTHER THIRD PARTY PLATFORM (IF ANY), FOR (A) ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, (B) DAMAGES FOR LOST PROFITS, (C) LOSS OF INFORMATION, (D) LOSS OF USE, (E) DAMAGE TO OR LOSS OF GOODWILL, (F) USE OR INABILITY TO USE THE API SERVICE OR SUPPORT SERVICES (IF ANY); (G) COST OF PROCUREMENT OF SUBSTITUTE GOODS, DATA, SOFTWARE PROGRAMS OR SERVICES; (H) UNAUTHORIZED ACCESS TO OR USE OF, OR ANY ALTERATION, CORRUPTION, DELETION, DAMAGE OR LOSS OF, THE DATA GENERATED BY THE API SERVICE, OR ANY OTHER DATA, SOFTWARE PROGRAMS OR SERVICES USED IN CONNECTION WITH THE API SERVICE; (I) FAILURE TO PROVIDE ACCURATE INFORMATION; (J) VIRUSES OR OTHER DISABLING FEATURES THAT AFFECT USERS’ ACCESS OR USE OF THE API SERVICE OR THAT ARE TRANSFERRED TO USERS THROUGH THE API SERVICE; (K) INCOMPATIBILITIES BETWEEN THE API SERVICE AND OTHER SERVICES, SOFTWARE OR HARDWARE; AND/OR (L) ANY THIRD PARTY CONDUCT, TRANSMISSIONS OR DATA, IN EACH CASE INCURRED BY THE USERS OR ANY OPEN SOURCE PLATFORM OR OTHER THIRD PARTY PLATFORM OR THE USERS OF ANY OPEN SOURCE PLATFORM OR OTHER THIRD PARTY PLATFORM. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE LIABILITY IS BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF WARRANTIES, OR OTHER LEGAL THEORY.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS FOR DAMAGES OR LOSSES ARISING OUT OF OR IN CONNECTION WITH THIS DISCLAIMER OR THE RELATED SERVICES, REGARDLESS OF THE FORM OF ACTION, EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100.00).
THESE LIMITATIONS AND EXCLUSIONS APPLY EVEN IF (X) THIS REMEDY DOES NOT FULLY COMPENSATE USERS FOR ANY LOSSES, OR FAILS OF ITS ESSENTIAL PURPOSE AND/OR (Y) UNISAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE FOREGOING DISCLAIMER WILL NOT APPLY TO THE EXTENT PROHIBITED BY LAW.
3.7 Intellectual Property:
(a) Your Content. Depending on the Service, you may share your content with us. You consent to our use of your content to provide the Service to you. If you give feedback about the API to UniSat, you give to UniSat, without charge, the right to use, share and commercialize your feedback in any way and for any purpose. You will not give feedback that is subject to a license that requires UniSat to license its software or documentation to third parties because UniSat includes your feedback in them. These rights survive this Agreement;
(b) Service Offerings License. We or our licensors own all rights, titles, and interests in and to the Service, and all related technology and intellectual property rights. Subject to the terms of this Agreement, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to do the following: (i) access and use the Service solely in accordance with this Agreement; and (ii) copy and use the API solely in connection with your permitted use of the Service. Except as provided in this Section 3.7(b), you obtain no rights under this Agreement from us, our affiliates or our licensors to the UniSat Offerings, including any related intellectual property rights. Unless otherwise expressly stated, all open-source code provided by UniSat (including but not limited to any open-source components, libraries, tools, or sample code made available through the Service) and ad-hoc libraries without explicitly specified licensing terms (collectively referred to as “Our Open-Source Code”) are licensed under the MIT License. Your use of Our Open-Source Code constitutes your acceptance of and agreement to comply with the terms of the MIT License;
(c) License Restrictions. You represent and warrant that neither you nor any end user will use the Service in any manner or for any purpose other than as expressly permitted by this Agreement. Except as expressly authorized, neither you nor any end user will, or will attempt to (i) modify, distribute, alter, tamper with, repair, or otherwise create derivative works of any content included in the Service (except to the extent content included in the Service is provided to you under a separate license that expressly permits the creation of derivative works), (ii) reverse engineer, disassemble, or decompile the Service or apply any other process or procedure to derive the source code of any software included in the Service (except to the extent applicable law doesn’t allow this restriction), (iii) access or use the Service in a way intended to avoid incurring fees or exceeding usage limits or quotas, (iv) use scraping techniques to mine or otherwise scrape data except as permitted by us in writing, or (v) resell or sublicense the Service unless otherwise agreed in writing. You will not use any trademarks, service marks, service or trade names, logos, and other designations of UniSat and our licensors unless you obtain our prior written consent. You will not misrepresent or embellish the relationship between us and you (including by expressing or implying that we support, sponsor, endorse, or contribute to you or your business endeavors). You will not imply any relationship or affiliation between us and you except as expressly permitted by this Agreement.
(d) Users represent and warrant not to infringe on any intellectual property related to UniSat.
3.8 Applicable Law and Dispute Resolution:
(a) This Disclaimer, your use of the Service, and any dispute, controversy, difference or claim arising out of or relating to this Agreement, or your use of the Service, including the existence, validity, interpretation, performance, breach or termination of this Agreement or any dispute regarding non-contractual obligations arising out of or relating to them (“Dispute”) shall be governed by and construed in accordance with the laws of Hong Kong, without giving effect to any conflict of laws principles;
(b) Any Dispute shall be first resolved through good faith negotiations. You must inform us of the Dispute by sending an email to contact [email protected]. If no settlement is reached within sixty (60) days of our first email to commence the negotiations, the Dispute shall be resolved exclusively by arbitration in accordance with Section 3.8(c) below;
(c) Any Dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (the “HKIAC”) in accordance with the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English. The fees and expenses of the arbitral tribunal shall be determined on the basis of [Schedule 2/ Schedule 3] of these Rules. The arbitration shall take place in Hong Kong, unless both you and us mutually agree on an alternative location;
(d) Class Action Waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND WE EXPRESSLY WAIVE ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. Unless both you and we agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.
3.9 Clarity of Disclaimer: Users understand and agree that even if certain terms are invalid in legal terms, the remaining terms of this Disclaimer remain valid. If any term of this Disclaimer is found to be illegal, void, or unenforceable, such term will be modified so as to render it enforceable to the maximum extent possible. The rest of this Disclaimer will not change. This Disclaimer, including any other policies or terms incorporated by reference, is the entire agreement between Users and us regarding Users’ use of the API Service. It supersedes any prior agreements or statements (whether oral or written, or whether established by custom, practice, policy or precedent) regarding Users’ use of the API Service.
3.10 Assignment: We may assign or delegate all rights and obligations under this Agreement, in whole or in part, at any time with or without notice to Users. Users may not assign or delegate any rights or obligations under this Agreement, or any part of it, to any other third party. Any attempt by Users to do so is void. Users may not transfer to a third party, either temporarily or permanently, any rights to use the API Service or any part of it.
3.11 No Third Party Beneficiaries: This Agreement is solely for Users’ and our benefit. It is not for the benefit of any other party, except for permitted successors and assignees under this Agreement.
3.12 No Waiver: Any delay or failure by UniSat to exercise a right or remedy will not result in a waiver of that, or any other, right or remedy.
3.13 Unless otherwise agreed, this Disclaimer shall apply when Users use the Service.
